1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the Rayuvia website, digital platform, healthcare provider directory, mobile and other applications (where applicable), content, information, tools, features, products, and related services operated, controlled, or made available by Rayuvia Services ("Rayuvia", "we", "us", or "our") (collectively, the "Services").


These Terms constitute a legally binding agreement between you and Rayuvia. By accessing, browsing, registering for, creating an account on, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with any policies, guidelines, notices, or other terms expressly incorporated into them, including Rayuvia's Privacy Policy and any additional terms applicable to particular products, features, or services.


If you access or use the Services on behalf of an individual, healthcare provider, healthcare facility, company, organization, or other legal entity, you represent and warrant that you have the legal authority to accept these Terms on its behalf. In such circumstances, references to "you" or "your" include both you and the relevant individual or entity.


If you do not agree to these Terms, any incorporated policies, or any applicable additional terms, you must not access, browse, register for, or otherwise use the Services. Where permitted by applicable law, Rayuvia may restrict, suspend, or terminate your access to the Services if you violate these Terms or any applicable law or regulation.


2. Definitions

For the purposes of these Terms and Conditions ("Terms"), the following words and expressions shall have the meanings set out below. Unless the context otherwise requires, words importing the singular include the plural and vice versa, and references to persons include individuals, companies, corporations, partnerships, associations, governmental authorities, public bodies, and other legal entities.


2.1 Definitions

"Account" means a registered account created by or on behalf of a User to access, manage, or use features, functionalities, or Services that require registration, authentication, or authorised access.


"Applicable Law" means all laws, statutes, regulations, rules, codes, directives, regulatory requirements, court orders, professional standards, and legally binding requirements applicable to Rayuvia, a User, a Healthcare Provider, or the use of the Services in the relevant jurisdiction.


"Content" means all information and materials made available through or in connection with the Services, whether provided by Rayuvia, a User, a Healthcare Provider, or a third party, including text, articles, images, photographs, graphics, audio, video, data, software, documents, profiles, Listings, reviews, ratings, comments, trademarks, logos, and other materials.


"Healthcare Provider" means any individual, professional, organization, institution, facility, or other entity that provides, offers, advertises, or is listed as providing healthcare or healthcare-related services, including healthcare professionals, hospitals, clinics, pharmacies, laboratories, diagnostic centres, specialist facilities, medical practices, and allied or other healthcare service providers, as applicable.


"Listing" means any profile, directory entry, advertisement, record, or other presentation relating to a Healthcare Provider, healthcare facility, healthcare service, or related entity that is displayed, published, or otherwise made available through the Services.


"Personal Data" means information relating to an identified or identifiable natural person, or any equivalent term recognised under applicable data protection or privacy legislation.


"Platform" means the digital environment operated or made available by Rayuvia through which the Services are provided, including Rayuvia's websites, web pages, mobile applications, software, databases, interfaces, systems, servers, and associated technological infrastructure.


"Privacy Policy" means Rayuvia's privacy policy, as amended or updated from time to time, which explains how Rayuvia collects, uses, stores, discloses, transfers, safeguards, and otherwise processes Personal Data.


"Services" means the Platform and all associated products, features, functionalities, tools, content, directory services, information services, communications, and other services made available, operated, or provided by or on behalf of Rayuvia from time to time.


"Terms" or "Terms and Conditions" means these Terms and Conditions, together with any policies, notices, guidelines, schedules, additional terms, or other documents expressly incorporated into them.


"Third Party" means any person or entity other than Rayuvia, a User, or a person or entity acting on behalf of Rayuvia in providing services to Rayuvia.


"User", "you", or "your" means any individual or legal entity that accesses, browses, registers for, or uses the Services, whether as a visitor, registered user, Healthcare Provider, healthcare facility, professional, organization, or other authorised user.


"User Content" means any information, material, data, text, image, photograph, review, rating, comment, feedback, document, or other content submitted, uploaded, posted, transmitted, or otherwise provided by a User through or in connection with the Services.


"Rayuvia", "we", "us", or "our" means Rayuvia Services and, where applicable, its affiliates, subsidiaries, successors, assigns, officers, employees, agents, contractors, and authorised representatives.


2.2 Interpretation

Unless the context requires otherwise:

a. headings are included for convenience and shall not affect the interpretation of these Terms;

b. references to the singular include the plural and vice versa;

c. references to any gender include all genders;

d. references to "including", "includes", or "in particular" shall be construed without limitation;

e. references to writing or written communications include electronic communications, notices, and records to the extent permitted by Applicable Law;

f. references to any law, statute, regulation, or regulatory requirement include any amendment, modification, extension, consolidation, replacement, or re-enactment of that law, statute, regulation, or requirement;

g. references to a person include an individual, company, corporation, partnership, association, governmental authority, public body, or other legal entity;

h. where a term has a specific meaning under applicable data protection, privacy, healthcare, or other regulatory legislation, that meaning shall apply where the context so requires; and

i. if there is any inconsistency between these definitions and a specific provision of these Terms, the specific provision shall prevail to the extent of the inconsistency.


3. Eligibility and Authority

You represent that you have legal capacity to enter into these Terms. If you use the Services for an organization, you represent that you have authority to bind it. Rayuvia may restrict access where reasonably necessary to comply with law, protect the Platform or prevent misuse.


3.1 Rayuvia's Role

Unless expressly stated otherwise in a separate written agreement, Rayuvia operates as an information and technology platform and directory service provider. Rayuvia is not itself a healthcare provider and does not, merely by making a Healthcare Provider or healthcare facility available through a Listing, become the provider of any healthcare service identified in that Listing.


Rayuvia does not, unless expressly agreed otherwise in writing, provide medical diagnosis, treatment, clinical care, medical advice, prescriptions, emergency medical services, or other professional healthcare services through the Platform.


3.2 Independent Healthcare Providers

Healthcare Providers and other third parties whose information appears on the Platform are independent persons or entities and are not, solely by virtue of being listed on Rayuvia, employees, agents, partners, representatives, or joint venturers of Rayuvia.


Any healthcare service, consultation, diagnosis, treatment, prescription, procedure, appointment, referral, or other professional service obtained from a Healthcare Provider is provided by that Healthcare Provider independently and is subject to the terms, policies, professional obligations, and applicable laws governing that Healthcare Provider.


Unless expressly stated otherwise, Rayuvia does not control or direct the clinical judgment, professional conduct, treatment decisions, pricing, availability, or manner in which an independent Healthcare Provider provides healthcare services.


3.3 Accuracy and Verification of Listings

Rayuvia may obtain information concerning Healthcare Providers and healthcare facilities from the providers themselves, public sources, regulatory or professional registers, third-party sources, Users, or other available sources. Rayuvia may undertake verification, validation, moderation, or updating activities where appropriate.


However, the inclusion of a Listing on the Platform does not, by itself, constitute a representation or guarantee by Rayuvia that the Healthcare Provider is appropriately qualified, licensed, accredited, insured, available, suitable for a particular purpose, or otherwise compliant with all applicable professional or regulatory requirements.


Users should independently verify relevant credentials, qualifications, licenses, registration status, availability, fees, services, and other information before engaging a Healthcare Provider, particularly where such information is material to a healthcare decision.


3.4 No Medical Advice or Emergency Service

Information made available through the Platform is provided for general informational, educational, and discovery purposes and is not intended to constitute medical advice, diagnosis, treatment, or a substitute for consultation with a qualified healthcare professional.


The Platform should not be used for medical emergencies or situations requiring immediate medical attention. Users experiencing an emergency or urgent medical condition should contact the appropriate emergency medical service or seek immediate assistance from a qualified healthcare professional or healthcare facility in their jurisdiction.


3.5 User Responsibility

Users remain responsible for determining whether a Healthcare Provider, healthcare facility, service, or other healthcare resource identified through the Platform is appropriate for their individual circumstances.

Nothing on the Platform is intended to create a doctor-patient, nurse-patient, pharmacist-patient, therapist-patient, or other professional healthcare relationship between Rayuvia and a User.


3.6 Changes to the Services

Rayuvia may introduce, modify, suspend, restrict, or discontinue any feature, functionality, Listing, Content, or component of the Services from time to time, including where necessary to comply with Applicable Law, regulatory requirements, security requirements, technological developments, or legitimate operational considerations.


The availability of particular Services may also differ between jurisdictions and may be subject to additional terms, eligibility requirements, verification procedures, or regulatory restrictions.


4. Nature of the Services

Rayuvia operates a digital healthcare information, discovery, and directory platform designed to assist members of the public, healthcare professionals, organizations, and other authorised users in locating, discovering, and accessing information relating to healthcare providers, healthcare facilities, healthcare-related services, and other healthcare resources.


Through the Platform, Rayuvia may make available information and Listings relating to hospitals, clinics, medical practitioners, nurses, dentists, pharmacists, pharmacies, laboratories, diagnostic centres, specialist facilities, allied health professionals, healthcare organizations, and other healthcare or healthcare-related service providers.


The Services may include, among other things, provider and facility directories, profiles, contact and location information, areas of practice or specialization, operating information, services offered, user reviews and ratings, search and filtering functionality, educational or informational Content, and other features designed to facilitate the discovery of healthcare resources. The nature and availability of particular features may vary by jurisdiction, user type, technical availability, and applicable legal or regulatory requirements.


4.1 No Healthcare Relationship with Rayuvia

Nothing contained in or accessible through the Services creates or is intended to create a doctor-patient, nurse-patient, pharmacist-patient, therapist-patient, clinician-patient, provider-patient, fiduciary, or other professional healthcare relationship between Rayuvia and any User.


Any healthcare relationship that may arise between a User and a Healthcare Provider identified through the Platform is established independently between those parties and is governed by the applicable professional, contractual, legal, and regulatory requirements.


4.2 Healthcare Provider Responsibility

Healthcare Providers are solely responsible for the healthcare services, professional advice, diagnosis, treatment, prescriptions, clinical decisions, procedures, consultations, and other services they provide to Users.


Rayuvia does not control or direct the independent professional judgment of Healthcare Providers and is not responsible for the clinical care, treatment decisions, professional conduct, acts, omissions, or outcomes of any Healthcare Provider, except to the extent liability cannot lawfully be excluded or limited.


4.3 No Emergency Medical Service

The Platform is not an emergency medical service and is not designed or intended to provide emergency response, urgent clinical assessment, or immediate medical intervention.


Users experiencing a medical emergency, serious symptoms, or a condition requiring immediate attention must not rely on the Platform or wait for a response through the Services. Instead, they should immediately contact the appropriate emergency medical service, attend the nearest appropriate emergency facility, or seek urgent assistance from a suitably qualified healthcare professional in their jurisdiction.


4.4 User Responsibility

Each User is responsible for exercising appropriate judgment when evaluating healthcare information and selecting or engaging a Healthcare Provider. Users should independently verify information that may be material to their healthcare decisions, including professional qualifications, licensing, registration, accreditation, availability, fees, services, location, and suitability.


To the maximum extent permitted by Applicable Law, Rayuvia does not warrant that information available through the Services is complete, current, accurate, suitable, or appropriate for any particular healthcare decision and does not guarantee any particular healthcare outcome.


Nothing in this clause is intended to exclude, restrict, or limit any rights, remedies, duties, or liabilities that cannot lawfully be excluded, restricted, or limited under Applicable Law.


5. No Medical Advice

The Services are provided primarily as a digital healthcare information, discovery, and directory platform. Unless expressly stated otherwise in a separate written agreement, Rayuvia is not a healthcare provider and does not provide medical, clinical, diagnostic, therapeutic, pharmaceutical, nursing, or other professional healthcare services through the Platform.


Any information, Content, Listings, descriptions, articles, educational materials, reviews, ratings, search results, recommendations, provider information, or other material made available through the Services is provided for general informational, educational, and healthcare discovery purposes only. Such information is not intended to constitute, and must not be relied upon as, professional medical advice, diagnosis, treatment, clinical assessment, prescription, medical opinion, or recommendation for any particular individual or medical condition.


The availability of information concerning a Healthcare Provider or healthcare facility through the Platform does not constitute an endorsement, recommendation, referral, guarantee, or representation by Rayuvia regarding the provider's qualifications, competence, licensing, accreditation, professional standing, availability, suitability, quality of care, treatment outcomes, or fitness for a particular purpose, except where Rayuvia expressly states otherwise.


Users should obtain appropriate advice, diagnosis, assessment, and treatment directly from a suitably qualified and appropriately licensed healthcare professional. Users should not delay, discontinue, or alter any medical treatment, medication, diagnosis, or professional healthcare advice because of information obtained through the Services.


5.1 Responsibility for Listing Information

Healthcare Providers and other persons or entities responsible for submitting or maintaining Listings are responsible for ensuring that the information they provide to Rayuvia is accurate, complete, lawful, current, and not misleading. Healthcare Providers should promptly notify Rayuvia of any material change to their professional credentials, registration, licensing status, services, contact details, location, availability, or other information contained in their Listing.


Where Rayuvia becomes aware that information is inaccurate, outdated, misleading, unlawful, or otherwise inappropriate, Rayuvia may, where reasonably practicable and permitted by Applicable Law, investigate, correct, update, restrict, suspend, or remove the relevant Listing or information.


5.2 No Endorsement or Accreditation

The inclusion, publication, verification, categorization, ranking, search visibility, or continued availability of a Listing on the Services does not constitute or imply an endorsement, recommendation, referral, accreditation, certification, sponsorship, approval, or guarantee by Rayuvia of the Healthcare Provider, healthcare facility, service, qualification, professional competence, clinical judgment, quality of care, safety, availability, suitability, or treatment outcome.


Any verification undertaken by Rayuvia is intended to support the integrity and usefulness of the Services and should not be interpreted as a substitute for verification by the User or as a certification of a Healthcare Provider's professional competence or quality of care.


5.3 Independent Verification by Users

Users are responsible for independently assessing and verifying information that is material to their decision to engage a Healthcare Provider or healthcare facility.


Before relying on a Listing or obtaining healthcare services, Users should, where appropriate, confirm directly with the relevant Healthcare Provider or applicable professional or regulatory authority matters including:


a. professional qualifications, licenses, registrations, certifications, and accreditation;

b. current professional or regulatory status and authority to practice;

c. areas of practice, specialization, and services offered;

d. availability, appointment arrangements, location, and contact information;

e. fees, charges, insurance arrangements, and payment requirements;

f. applicable terms and conditions for healthcare services; and

g. any other information relevant to the User's healthcare needs or decision.


5.4 Third-Party Information and External Sources

Where a Listing contains information obtained from third parties, public records, external websites, professional registers, regulatory authorities, or other external sources, Rayuvia does not guarantee the accuracy, completeness, reliability, or continued availability of that information.


Links or references to external websites, registers, professional bodies, or other third-party resources are provided for convenience and informational purposes and do not necessarily constitute an endorsement or verification by Rayuvia of the content, services, or representations made by those third parties.


5.5 Changes, Suspension and Removal of Listings

Rayuvia reserves the right, subject to Applicable Law and any contractual obligations, to amend, update, classify, moderate, restrict, suspend, deactivate, or remove any Listing or part of a Listing where Rayuvia considers this reasonably necessary, including where information appears inaccurate, outdated, misleading, unlawful, incomplete, duplicated, fraudulent, unsafe, or inconsistent with these Terms or applicable policies.


Rayuvia does not guarantee that any particular Listing will remain available for any specified period.

Nothing in this clause is intended to exclude, restrict, or limit any rights, remedies, duties, or liabilities that cannot lawfully be excluded or limited under Applicable Law.


6. Healthcare Provider Listings

Rayuvia may collect, compile, organize, verify, update, publish, and display information relating to Healthcare Providers, healthcare facilities, and healthcare-related services through the Services. Such information may be obtained from Healthcare Providers and their authorized representatives, professional and regulatory bodies, official registers, government authorities, healthcare institutions, publicly available records, provider websites, lawful commercial databases, third-party sources, Users, and other lawful sources.


The information contained in a Listing may include, where applicable, a provider's name, professional designation, qualifications, areas of practice or specialization, services offered, professional registration or licensing information, facility details, location, contact information, operating hours, appointment information, website or other contact details, photographs, reviews, ratings, and other information relevant to the discovery of healthcare services.


Rayuvia may undertake reasonable measures to review, validate, moderate, update, or otherwise assess Listing information. However, information may change over time and Rayuvia cannot guarantee that every Listing or item of information will at all times be complete, accurate, current, available, verified, error-free, or suitable for any particular purpose. Rayuvia is not required to continuously monitor or independently verify every item of information contained in every Listing.


7. Verification and Profile Claims

Where Rayuvia offers verification, profile-claiming, provider-identity confirmation, or similar functionality, such functionality is intended solely to confirm the information, identity, authority, or other attributes that Rayuvia has expressly stated it will verify for the relevant service.


1. Nature and Scope of Verification

Verification by Rayuvia means only that Rayuvia has completed the verification procedures applicable to the particular verification service at the time the verification was conducted. The scope, methodology, requirements, and level of verification may vary depending on the type of Listing, jurisdiction, information being verified, and service concerned.


Unless expressly stated otherwise, a verification status does not constitute or imply professional accreditation, licensing, certification, registration, clinical competence, specialist recognition, quality assurance, endorsement, recommendation, referral, sponsorship, affiliation, or guarantee by Rayuvia.


A verification badge, label, status, or other verification indicator should therefore not be interpreted as a representation that a healthcare professional or healthcare organization is qualified to provide any particular treatment or service, or that any particular clinical outcome will be achieved.


2. Claims to Listings and Profiles

Where Rayuvia permits a healthcare professional, healthcare organization, authorized representative, or other eligible person to claim a Listing or Profile, the claimant must provide complete, accurate, current, and truthful information and must have the legal or other appropriate authority to act on behalf of the relevant individual or organization.

By submitting a claim, the claimant represents and warrants that:


  • the information provided to Rayuvia is accurate, complete, and not misleading;
  • the claimant is the person identified or is duly authorized to represent the relevant person or organization;
  • any documents, credentials, licenses, registrations, or other evidence submitted are genuine and have not been falsified, altered, misrepresented, or obtained unlawfully;
  • the claimant will promptly notify Rayuvia if any information previously provided becomes inaccurate, incomplete, misleading, expired, suspended, revoked, or otherwise no longer applicable; and
  • the claimant will not use Rayuvia's verification or profile-claiming functionality to impersonate another person or organization, misrepresent professional status, mislead users, or facilitate unlawful, fraudulent, deceptive, or abusive activity.


3. Verification Evidence

Depending on the circumstances, Rayuvia may request reasonable evidence or undertake appropriate verification checks before approving, maintaining, or renewing a verification status or profile claim.


Such evidence may include, where legally and reasonably appropriate, professional registration information, licensing details, organizational records, official identification, institutional affiliation, business registration information, professional credentials, domain or email verification, publicly available records, information from recognized professional or regulatory bodies, or other reliable sources.


Rayuvia may also contact the relevant professional, organization, institution, regulator, professional body, or other appropriate source for verification purposes, subject to applicable law and appropriate safeguards.


Rayuvia is not required to accept any particular form of evidence and may determine, acting reasonably and in accordance with applicable law, whether the evidence provided is sufficient for the relevant verification process.


4. Verification Does Not Guarantee Accuracy

Although Rayuvia may take reasonable steps to verify information, verification is based on information and evidence available to Rayuvia at a particular point in time and may not establish that all information contained in a Listing or Profile is accurate, complete, current, or continuously valid.


Rayuvia does not guarantee that a verified Listing or Profile will remain accurate after verification or that a healthcare professional's license, registration, qualification, employment, affiliation, or professional status will remain valid throughout the period during which a verification indicator is displayed.


Users should independently confirm material professional, licensing, regulatory, clinical, contact, availability, and other information directly with the relevant healthcare professional, healthcare organization, or applicable regulatory authority where appropriate.


5. Review, Suspension and Removal

Rayuvia reserves the right, subject to applicable law, to request additional information, conduct further verification, review a previously verified Listing or Profile, refuse or delay a claim, decline to grant verification, suspend or remove a verification status, restrict access to profile-management functionality, amend or remove information, or remove a Listing or Profile where Rayuvia reasonably believes that:


  • the information provided is inaccurate, incomplete, misleading, outdated, or unverifiable;
  • the claimant has not demonstrated sufficient authority to claim or manage the Listing;
  • supporting evidence is inadequate, inconsistent, fraudulent, altered, or otherwise unreliable;
  • a professional license, registration, credential, or authorization appears to have expired, been suspended, revoked, restricted, or otherwise become invalid;
  • the Listing or Profile has been claimed or managed by an unauthorized person;
  • the account or Listing is being used for impersonation, fraud, deception, abuse, or other prohibited activity;
  • the Listing or Profile creates a material risk to users, Rayuvia, healthcare professionals, or third parties; or
  • such action is necessary to comply with applicable law, a lawful request, regulatory requirement, court order, or Rayuvia's policies.


Where appropriate and legally permissible, Rayuvia may provide the relevant claimant with an opportunity to address or correct the issue before a verification status or Listing is suspended or removed.


6. Ongoing Verification and Changes in Status

Verification is not necessarily permanent. Rayuvia may require periodic re-verification or updated evidence, particularly where the information concerned is subject to change, including professional licenses, registrations, institutional affiliations, practice details, or other time-sensitive credentials.


A claimant is responsible for promptly updating Rayuvia regarding material changes affecting the accuracy or validity of the Listing or Profile. Rayuvia may remove or modify a verification status where information can no longer reasonably be confirmed.


7. No Professional or Clinical Endorsement

A verified Listing or Profile does not mean that Rayuvia has evaluated, inspected, audited, endorsed, recommended, referred, accredited, certified, or approved the healthcare professional, healthcare organization, facility, treatment, product, service, qualification, clinical practice, or professional outcome associated with that Listing or Profile.


Rayuvia does not provide medical, clinical, diagnostic, therapeutic, or professional advice merely by displaying, verifying, organizing, or making available information about a healthcare provider or healthcare service.


8. User Responsibility

Users remain responsible for independently assessing the suitability, qualifications, credentials, services, availability, reputation, and professional status of any healthcare provider or healthcare organization before relying on information obtained through Rayuvia.


Where healthcare decisions are involved, users should obtain appropriate advice directly from a qualified healthcare professional and, where relevant, confirm professional registration or licensing with the competent regulatory or professional authority.


9. No Guarantee of Listing or Verification Availability

Rayuvia does not guarantee that every eligible healthcare professional or organization will be verified, that every Listing will be claimable, or that verification will be available in every jurisdiction or for every category of provider.


Rayuvia may modify, suspend, discontinue, or introduce verification and profile-claiming features from time to time, subject to applicable law.


10. Compliance with Applicable Law

All verification and profile-claiming activities are conducted subject to applicable data protection, privacy, healthcare, professional regulation, consumer protection, anti-fraud, and other applicable laws and regulatory requirements in the jurisdictions in which Rayuvia operates.


Where verification involves Personal Data or sensitive information, Rayuvia will process such information in accordance with its Privacy Policy and applicable data protection laws, including applicable requirements relating to lawfulness, transparency, data minimization, security, retention, and international data transfers.


8. Provider Responsibilities

Healthcare Providers and authorized representatives must ensure that information supplied to Rayuvia is accurate, lawful, current and not misleading, and must promptly report material changes. Providers remain responsible for professional practice, licensing, regulation, clinical decisions, patient relationships, pricing, availability, advertising, staff, premises and services.


9. Search, Ranking and Availability

Rayuvia may use automated, algorithmic, and other objective criteria to organize, filter, rank, recommend, and display Listings, Profiles, healthcare providers, and services. These criteria may include search terms, relevance, location, proximity, selected filters, profile completeness and recency, availability, service category, technical performance, user preferences, and other factors relevant to the particular feature.


Unless expressly stated otherwise, search position, prominence, or ranking does not constitute or imply clinical quality, professional competence, accreditation, endorsement, recommendation, or superiority. A higher-ranked Listing does not mean that the provider is more qualified, experienced, suitable, or clinically effective than another provider.


Where sponsored, promoted, or commercially influenced placement is offered, Rayuvia will provide appropriate disclosure where required by applicable law. Such placement does not constitute clinical or professional endorsement.


Availability and appointment information may be provided by healthcare providers, booking systems, third-party platforms, or other lawful sources and may change without notice. Rayuvia does not guarantee that displayed availability, appointment times, or services will remain available or result in a successful booking. An appointment is confirmed only when the applicable booking process has been successfully completed and confirmation has been issued by the relevant provider, Rayuvia, or applicable booking service.


Search results and availability may be affected by delays, inaccuracies, technical limitations, cancellations, changes in provider schedules, or information received from third parties. Users should independently verify material information, including professional credentials, availability, fees, operating hours, and appointment details, directly with the relevant provider or applicable authority before relying on it.


10. Accounts and Security

Where Rayuvia offers account functionality, users are responsible for providing accurate, complete, and current information and for maintaining the confidentiality and security of their account credentials, including passwords, authentication codes, and other access credentials. Users are responsible for activities conducted through their accounts, except to the extent caused by Rayuvia's failure to meet its applicable legal or contractual obligations.


Users must not impersonate another person or organization, use another person's account or credentials without proper authority, create or maintain fraudulent, deceptive, duplicate, or unauthorized accounts, provide false identity or verification information, share credentials in a manner that compromises account security, or bypass, disable, interfere with, or attempt to circumvent any authentication, access-control, or other security measures.


Users must promptly notify Rayuvia through the appropriate support or security channel if they suspect or become aware of unauthorized access, credential compromise, account misuse, or any other security incident affecting their account. Rayuvia may suspend, restrict, or terminate access where reasonably necessary to protect users, the Services, or the security and integrity of the platform, subject to applicable law.


11. Acceptable Use

You must use the Services lawfully. You must not violate law or third-party rights; upload malware; interfere with security; impersonate others; submit false provider information; harass or threaten; attempt unauthorized access; reverse engineer except where legally permitted; overload infrastructure; scrape or harvest the directory without permission; send spam; or use Platform information for unlawful discrimination, fraud or other prohibited purposes. Rayuvia may investigate and restrict misuse.


12. Reviews and User Content

Where reviews, ratings or comments are enabled, contributors must submit genuine, lawful and non-defamatory material. Users must not publish confidential patient information, another person's personal data without lawful authority, fabricated reviews, discriminatory content, threats or misleading claims. By submitting content, you grant Rayuvia a non-exclusive, worldwide, royalty-free license to host, reproduce, display, adapt and distribute it as necessary to operate the Services, subject to applicable law. Rayuvia may moderate or remove content that breaches these Terms or law.


13. Intellectual Property

The Platform, software, design, compilation, databases, trademarks, logos, graphics, text, interfaces and other Rayuvia materials are owned by or licensed to Rayuvia. Subject to these Terms, Rayuvia grants a limited, non-exclusive, non-transferable and revocable license to use the Services for their intended purpose. Copying, republication, sale, licensing, distribution, modification, framing, mirroring, scraping or commercial exploitation is prohibited except with permission or where law expressly permits it.


14. Directory Database and Anti-Scraping

The compilation, arrangement and presentation of the healthcare directory may attract intellectual property or database protection. Systematic extraction, harvesting, scraping, crawling, bulk downloading or republication of Listings is prohibited except where expressly permitted. Rayuvia may deploy technical controls and rate limits to protect the Platform.


15. Third-Party Links and Services

The Platform may link to healthcare providers, maps, booking systems, payment providers, social media and other third-party resources. Those parties control their own services and policies. Rayuvia is not responsible for third-party availability, security, content, privacy practices, terms or conduct.


16. Fees and Payments

Certain Rayuvia Services may be provided free of charge, while others may require payment. Where a fee applies, the applicable price, currency, taxes, billing arrangements, payment terms, cancellation and refund conditions, and any other material charges will be disclosed before the relevant transaction is completed.


Unless expressly stated, Rayuvia does not determine, control, or guarantee the fees, prices, charges, discounts, or other commercial terms set by healthcare providers or third parties. Prices displayed through the Services may change and may be subject to applicable taxes, additional charges, or provider-specific terms. Users should verify the final price and applicable terms with the relevant provider before obtaining a healthcare service.


Payments may be processed by Rayuvia or independent third-party payment providers. Such providers may apply their own terms, privacy practices, fees, processing requirements, and security measures. Rayuvia is not responsible for matters outside its reasonable control arising from a third-party payment processor, subject to applicable law.


Unless otherwise stated or required by applicable law, fees paid for Rayuvia Services are non-refundable except where cancellation or refund rights are expressly provided under the applicable terms or required by law.


17. Communications

You may receive service-related electronic communications, including account notices, security alerts and administrative messages where permitted by law. Marketing communications will be handled in accordance with applicable law and preference controls. Electronic notices may satisfy written-notice requirements where legally permitted.


18. Privacy and Data Protection

Processing of personal data is governed by Rayuvia's Privacy Policy, incorporated into these Terms by reference. Rayuvia operates with regard to applicable data protection laws, including the Nigeria Data Protection Act 2023 and UK data protection legislation where applicable. Nothing in these Terms limits mandatory privacy rights.


19. Cookies

Cookies, pixels, SDKs and similar technologies may be used for essential functionality, security, preferences and analytics. Where consent is legally required, appropriate controls will be provided. Further details are contained in the Cookie Policy.


20. Security and Availability

Rayuvia implements reasonable technical and organizational safeguards but cannot guarantee complete security or uninterrupted availability. Maintenance, outages, cyber incidents, network failures and third-party failures may affect availability.


21. Disclaimers

To the fullest extent permitted by law, Services and Content are provided on an "as available" basis. Rayuvia does not warrant uninterrupted operation, complete accuracy, continuous availability or suitability for every purpose. Rayuvia does not warrant the quality, safety, competence, licensing, conduct, availability or treatment outcomes of any Healthcare Provider.


22. Limitation of Liability

Nothing excludes or limits liability that cannot lawfully be excluded, including liability for fraud or other mandatory liabilities. Subject to that qualification and applicable law, Rayuvia will not be liable for indirect, incidental, special, consequential or punitive losses, or loss of profits, revenue, goodwill, data or business opportunity arising from use of the Services. Any liability cap must be finalized against mandatory consumer and contract law in each target jurisdiction.


23. Indemnity

To the extent permitted by law, a User or Provider who breaches these Terms, infringes another person's rights, submits unlawful or misleading content or misuses the Services will be responsible for losses, claims, liabilities, costs and reasonable expenses arising directly from that breach or misconduct. This does not apply to the extent prohibited by mandatory law.


24. Suspension and Termination

Rayuvia may suspend, restrict or terminate access where reasonably necessary for security, fraud prevention, legal compliance, investigation of misuse, breach of these Terms or protection of Users and third parties. Users may stop using the Services at any time. Provisions intended to survive termination, including intellectual property, disclaimers, liability, indemnity, dispute resolution and governing law, survive.


25. Complaints and Disputes

Users should first contact Rayuvia through its designated complaints channel. Rayuvia will use reasonable efforts to investigate and resolve complaints. Nothing prevents a consumer from exercising mandatory legal rights or remedies.


26. Governing Law and Jurisdiction

The final published version must identify the contracting Rayuvia entity and applicable governing law. The Nigerian entity may use Nigerian law subject to mandatory protections; the UK entity should specify the relevant UK jurisdiction. No clause should remove mandatory consumer rights applicable in a User's jurisdiction.


27. International Use

The Services may be accessible globally. Healthcare, licensing, privacy, advertising and consumer laws differ by jurisdiction. Users are responsible for lawful use in their jurisdiction. Rayuvia may restrict access where required by law or regulatory direction.


28. Business Transfers and Force Majeure

Rayuvia may restructure, merge, acquire or dispose of businesses or assets, subject to applicable law. Rayuvia is not responsible for delay or failure caused by events beyond reasonable control, including natural disasters, war, governmental action, telecommunications failures, power outages, labour disruption or critical third-party infrastructure failures.


29. Severability and No Waiver

If any provision is invalid or unenforceable, it will be modified to the minimum extent necessary where permitted and the remainder will continue. Failure or delay in exercising a right is not a waiver.


30. Entire Agreement and Precedence

These Terms, incorporated policies and applicable feature-specific or written commercial agreements constitute the agreement governing use of the Services. A specific written agreement prevails for matters it expressly covers; feature-specific terms prevail over these general Terms for that feature; the Privacy Policy governs personal-data processing.


31. Changes to Terms

Rayuvia may update these Terms to reflect changes in Services, law, technology, security or operations. Updated Terms will carry a revised effective date. Where legally required, Rayuvia will provide additional notice or obtain consent. Continued use after the effective date may constitute acceptance where permitted by law.


32. Notices and Contact

Notices to Rayuvia should be sent through the contact details published on the Platform. Rayuvia may notify Users through the Platform, registered email, account notifications or other reasonable means.


33. Special Healthcare Disclaimer

RAYUVIA IS NOT, MERELY BY OPERATING THE PLATFORM, A HOSPITAL, CLINIC, PHARMACY, LABORATORY, DOCTOR OR OTHER HEALTHCARE PROVIDER. RAYUVIA DOES NOT DIAGNOSE, TREAT, PRESCRIBE OR PROVIDE CLINICAL CARE UNLESS A SEPARATE SERVICE IS EXPRESSLY IDENTIFIED AND LAWFULLY PROVIDED. All clinical services, advice, diagnoses, prescriptions, treatments, fees, appointments and professional decisions are the responsibility of the relevant Healthcare Provider.


Schedule 1 – Healthcare Provider Listing Rules

Providers must provide accurate and lawful information; must not impersonate another provider; must not upload confidential patient information; must maintain required licenses and registrations; must promptly report material changes; must cooperate with verification; and remain responsible for professional advertising and healthcare regulation. Paid placement or advertising, where offered, should be clearly identified.


Schedule 2 – User Safety Rules

Users should verify provider identity, qualifications, licensing, availability, fees and services directly with the provider. Users must not disclose another person's confidential medical information without lawful authority and must not rely solely on directory information for urgent or clinically significant decisions.


Schedule 3 – Jurisdictional Implementation

Before publication, Rayuvia should add jurisdiction-specific schedules for Nigeria and the United Kingdom identifying the contracting entity, governing law, courts or arbitration mechanism, consumer rights and any mandatory local terms. Additional assessments should be completed for countries actively targeted by Rayuvia.
